This agreement contains the scope of the work we provide and the terms of our agreement with you. Please read the agreement carefully before selecting the services you are interested in. Career Success Agreement & Account

This Agreement ("Agreement") is made this day of January February March April May June July August September October November December 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 2010 by and between The Diversa Group and Career Success Group & Targeted-Resumes (hereinafter referred to as CSG&TR) and Enter Your Full Name: (hereinafter referred to as Client). The parties hereby agree to the following terms and conditions in connection with such services.

A. PURPOSE
1. Client desires to engage The Diversa Group/CSG&TR to render professional services in developing certain career development and self marketing materials and The Diversa Group/CSG&TR desires to render the services under the terms and conditions of this agreement.
2. The services shall be provided by a principal of The Diversa Group/CSG&TR or a consultant who shall be an employee of The Diversa Group/CSG&TR.

B. SERVICES PROVIDED
1. The Diversa Group/CSG&TR are career development and self-marketing material development specialists providing comprehensive services in the following areas:

Career Success Counseling, Consulting, Coaching, & Advising

2. The Diversa Group/CSG&TR will provide exceptional value added services on a fixed fee, hourly or retainer basis.

C. SERVICES REQUEST BY CLIENT

Client has selected The Diversa Group to provide the following career development and self-marketing services:

The service you are requesting is:

• The Diversa Group/CSG&TR agrees to provide the requested services and will proceed upon receipt of the signed agreement and payment based on the clients service level.
• Said fee may be paid by credit or debit card. After receiving the agreement and payment, The Diversa Group/CSG&TR will begin providing the requested services.
• It is further understood that as a The Diversa Group/CSG&TR client any career and work/life advice and consultation provided in person, via telephone or by email in response to a client’s questions or stated need for additional information, career advice or counseling/consultation, will be performed and billed at the prorated hourly rate.
• If the Client need or wants additional services (advice, counseling or consultation) after an assignment is completed and request those services, The Diversa Group/CSG&TR will perform the requested services and bill the client at a prorated hourly rate.

D. CONFIDENTIALITY
1. The Diversa Group/CSG&TR recognizes that certain information provided by the Client will be confidential and will only share or allow access to this information with persons who need such information to complete the Client’s assignment.

2. Confidential Information shall not include information that (i) is in the possession of The Diversa Group/CSG&TR prior to its receipt of such information from the Client, (ii) becomes publicly available other than as a result of a breach of this agreement by The Diversa Group/CSG&TR, (iii) or can be independently acquired or developed by The Diversa Group/CSG&TR without violating any of its obligations under this agreement.

3. The Client recognizes and confirms that The Diversa Group/CSG&TR (a) will use and rely primarily on the confidential information provided by the Client and on information available from public sources in performing the services contemplated by this agreement without having independently verified the same, and (b) does not assure the accuracy or completeness of the confidential information or such other publicly available information.

4. In the event that The Diversa Group/CSG&TR receives a request to disclose all or any part of any confidential information under the terms of a valid and effective subpoena or order issued by a court of competent jurisdiction, a judicial or administrative agency or by a legislative body or committee, such disclosure by CSG&TR shall not constitute a violation of this Agreement provided that The Diversa Group/CSG&TR (a) promptly notify the Client of the existence, terms, and circumstances surrounding such request, (b) consults with the Client on the advisability of taking available legal steps to resist or narrow such request, and (c) exercises its best efforts to obtain an order or other reliable assurance that confidential treatment will be accorded to such portion of the confidential information to be disclosed which Client designates.

E. COMPENSATION/CLIENT INVESTMENT
1. The parties agree that The Diversa Group/CSG&TR will be compensated by the Client for providing professional career success services for the Client.

2. The Client will be billed for services provided in accordance with the fee schedule attached and made a part of this agreement. 

F. CLIENT ACKNOWLEDGMENT:
It is a standard practice of The Diversa Group/CSG&TR to serve multiple clients within industries, agencies and organizations including those with opposing or competitive professional interests. The Diversa Group/CSG&TR is committed to maintaining the confidentiality of each client's information. Accordingly, the Client acknowledges the possibility and agrees that Teh Diversa Group/CSG&TR may have served, may currently be serving or may in the future serve other clients whose interests are competitive to those of the Client.

G. GUARANTEES/PROMISES:
CSG&TR guarantees that it will work to help the Client succeed in their career, work, and life using all the tools, methods, techniques, strategies, and technology at its disposal. The Diversa Group/CSG&TR will not falsely advertise or make false promises to the Client as it relates to the services provided. The Diversa Group/CSG&TR cannot guarantee the Client specific jobs but can guarantee it will use it proven methods and work diligently to help the Client succeed.

H. CORE VALUES AND ETHICS
As a professional career counseling, consulting, resume writing and management firm, The Diversa Group/CSG&TR adheres to its Core Values and the code of ethics established by the National Career Development Association (NCDA), American Counseling Association, Professional Association of Resume Writers (PARW), and National Resume Writers Association (NRWA).

I. TERMINATION:
This agreement may be terminated by either party giving the other party written notice by e-mail followed by certified mail, returned receipt requested. In the event of any such termination, The Diversa Group/CSG&TR shall be compensated pro rata for professional fees and expenses incurred with respect to services performed through the effective date of termination.
